Terms and Conditions of the Chainly Platform
1. Definitions
Platform — The web application Chainly, through which the Operator facilitates the connection between Customers and Manufacturers.
Operator — Chainly s.r.o., the operator and administrator of the Platform.
Customer — Any natural or legal person who registers on the Platform for the purpose of ordering manufacturing based on a 3D file.
Manufacturer — A business registered on the Platform for the purpose of accepting and fulfilling manufacturing orders.
Consumer — A Customer who is a natural person acting outside the scope of their trade, business, craft or profession.
Order — A binding request submitted by a Customer on the basis of a specific Quote.
Quote — An automatically generated calculation of price, lead time and production specification for a specific 3D file.
Manufacturing Contract — A contract concluded exclusively between the Customer and the Manufacturer. The Operator is not a party to this contract.
Fee (Commission) — The Operator's remuneration for intermediation and technical services.
3. Nature of the Service and Chainly's Role
Chainly is not a party to the Manufacturing Contract. The contract for the performance of manufacturing works is concluded exclusively between the Customer and the Manufacturer. The Operator intermediates between supply and demand, provides the technical infrastructure of the Platform, may facilitate a centralised payment flow, and retains a Fee for its intermediation services.
The Operator does not assume the role of manufacturer, seller or supplier of the goods or services under the Manufacturing Contract.
4. Registration and User Account
Only a business may register as a Manufacturer on the Platform. A Customer may be a business or a Consumer. Registration is a prerequisite for access to the ordering features of the Platform.
Users must provide accurate, complete and truthful information during registration. Login credentials are confidential and non-transferable.
The Operator reserves the right to refuse registration or to suspend or terminate an account upon breach of these T&C, fraudulent conduct, or prolonged inactivity.
5. Acceptable Use
Users must not upload content that infringes third-party rights, disseminate false or misleading information, engage in fraudulent or manipulative conduct, or attempt to gain unauthorised access to the Platform's systems.
By uploading a 3D file, the user represents and warrants that they are entitled to use the file for manufacturing purposes and that it does not infringe the rights of any third party.
6. Ordering Process
The Customer initiates the ordering process by uploading a 3D file. The Platform automatically analyses the file and displays a list of Quotes from individual Manufacturers.
A Quote is valid for 24 hours from its generation, unless a different period is stated. By submitting an Order, the Customer confirms their intention to proceed with manufacturing on the terms set out in the Quote.
The Manufacturing Contract is formed at the moment of acceptance of the Order by the Manufacturer.
7. Payments, Fee and Payout to Manufacturer
The Customer is required to pay the agreed total price in accordance with the payment instructions displayed in the Order. The Operator retains a Fee as remuneration for its intermediation services. After deducting the Fee, the Operator will transfer the remaining amount to the Manufacturer's bank account.
8. Manufacturer Obligations
The Manufacturer undertakes to perform the manufacturing in accordance with the Order, to a quality appropriate to the selected technology and material, and to meet the agreed delivery date.
9. Consumer Rights
A Consumer who concludes a Manufacturing Contract at a distance has the right to withdraw from the contract without giving any reason within 14 days of receipt of the product. An exception applies for custom-made goods manufactured according to the Customer's individual requirements.
Consumers may use the Czech Trade Inspection Authority (ČOI) for alternative dispute resolution.
10. Chainly's Liability
The Operator is not liable for the quality of products manufactured by the Manufacturer, compliance with delivery dates, or damage arising from manufacturing or product defects. The Operator uses reasonable efforts to maintain the availability and functionality of the Platform.
11. Complaints and Dispute Resolution
All product complaints must be directed directly to the Manufacturer. Disputes arising from the Manufacturing Contract are to be resolved between the Customer and the Manufacturer.
12. Privacy and Data Protection
The processing of users' personal data is carried out in accordance with GDPR and applicable Czech law. Detailed information is contained in the Chainly Privacy Policy.
13. Changes to the Terms and Conditions
The Operator may amend these T&C. Users will be informed of any changes with reasonable notice. Amendments take effect upon expiry of 14 days from the date of notice for business users.
14. Account Termination
Users may request the closure of their account at any time. The Operator may terminate or suspend a user's account upon breach of these T&C or fraudulent conduct.
15. General Provisions
These T&C are governed by the law of the Czech Republic. The courts of the Czech Republic have jurisdiction to settle disputes.
